Terms of Use

This Agreement (“Agreement”) contains important provisions relating to the use of the Muwadat website (referred to as the “Site”) and all other services, including brokerage services for the sale of assets related to websites or any online business activity through the Muwadat platform (“Services”).

You should carefully review this Agreement before deciding to use Muwadat services, including, without limitation, listing or purchasing assets through the Platform. If you do not agree to the terms contained in this Agreement, you must refrain from using the Site or any of its Services.

Acceptance of Terms
By using the Website, you agree to and are bound by these Terms, as well as the Privacy Policy available at [Privacy Policy Link] and the Cookies and Tracking Policy available at [Cookies Policy Link], which are incorporated herein by reference. Please read them carefully before using the Muawadat Services.

If you do not agree to these Terms or the Privacy Policy or Cookies and Tracking Policy, you must refrain from accessing or using the Site.

You also agree to any additional terms specific to the services you use through the Muwadat Platform which become part of your agreement with us, including the terms listed below.

1. Privacy

Please review our Privacy Policy and Cookies and Tracking Policy, as these policies also govern your use of the Muwadat Services, to understand our practices regarding the collection and processing of data.
Muwadat will collect your personal data, including your name, contact information, payment details (including, but not limited to, your credit card details), browsing data, profile information (including your profile picture), and your activity on the Site, through our internal and third-party algorithms.

All personal information will be handled, used, stored and disclosed in accordance with all applicable laws relating to data protection and privacy, as well as our Privacy Policy, which may be updated from time to time.

2. Use of Personal Data

By using the Site and the Muwadat Services, you acknowledge and agree that we may use your personal information in accordance with the Privacy Policy, including, but not limited to, analyzing browsing data, profile, and activity on the Site through our own algorithms and third-party algorithms, to provide recommendations and notifications of suitable offers or buyers to you.

When offers are matched, your profile (including your written summary, your profile picture, and your preferences) will be displayed to the relevant parties. However, your phone number, address, or email will not be disclosed to other parties on the Site.

Unless expressly agreed between you and another party (such as a seller or buyer), you are prohibited from using their personal information for any other purpose.

3. Account Registration Requirements in “Muwadat”

A. Necessity of Registration to Use the Services
To use the “Muwadat” services, the user must register an account and accept this agreement. Each user is allowed to use his personal account only, and it is strictly prohibited to grant third parties access to the account. Upon registration, the user is obligated to provide correct, complete, accurate and up-to-date data.
The user is responsible for maintaining the confidentiality and security of the username and password. In the event of unauthorized access to the account, the user must immediately notify “Muwadat” in writing.

B. Communication with Users
By registering the account, the user agrees that “Muwadat” may communicate with him via the information provided (such as phone, email, and text messages). However, the user has the right to unsubscribe from future messages.

C. Legal Capacity to Register
The user must be of legal age according to the laws of his country or at least 18 years old (whichever is higher) and have full legal capacity to agree to this agreement.

D. Legal Authority to Represent Other Parties
Users acknowledge that they have full legal authority to enter into this Agreement. If User is registering an account on behalf of a business entity or third party, User warrants that they are legally authorized to represent such entity or party and are able to abide by the terms of this Agreement.

E. Sellers’ Warranties.
Sellers acknowledge that they have full legal rights to the business offered for sale through “Moawadat”, or that they will disclose any legal obligations or restrictions related to it.

F. Buyers’ Warranties
Buyers acknowledge that they have sufficient funds to complete any purchase they offer through “Muwadat”.

G. Financial Status of the Seller and Buyer.
Both the Seller and Buyer warrant that they are not subject to any bankruptcy or financial restructuring proceedings, whether voluntary or involuntary, or any similar laws relating to the insolvency of creditors or debtors.

4. Balance and Refund

  • If Muwadat issues a refund to you, the amount will be returned to the same payment method you used when paying, unless the system requires otherwise.
  • Muwadat has the right to refund any amount paid in cases where this is required according to the regulations of the Kingdom of Saudi Arabia, or if it is found that there is a payment error or an irregular transaction.
  • Muwadat’s decision regarding refunds is final and conclusive, unless the Saudi system provides otherwise.

5. Credits

  • The user can earn points or credits based on his activity on Muwadat, but they are not cash and cannot be exchanged for cash amounts.
  • The credit can be used to pay fees for services provided by Muwadat, but cannot be used to purchase assets or complete Muwadat transactions.
  • Muwadat has the right to deduct any remaining credit to cover any financial dues owed by the user in accordance with the provisions of the agreement and the regulations in force in the Kingdom of Saudi Arabia.
  • The unused credit expires 12 months after the last use, unless the period is extended in accordance with Muwadat policies.

6. Payment Processing

  • Muwadat acts as a technical intermediary / broker that enables compensation and commercial exchange between users, and is not a party to payment or financial transfer operations.
  • All payments are made through financial service providers approved in the Kingdom of Saudi Arabia, in accordance with applicable laws and regulations.
  • The user agrees that Muwadat may share payment information with the competent authorities or financial service providers, in accordance with the personal data protection controls in the Kingdom.
  • The user undertakes not to make any illegal payments or those that violate Saudi regulations, and Mowadat reserves the right to stop any suspicious or violating transaction.

Service fees are charged according to the following commission system:

  • Asset listing fees for sale: [percentage or specified amount].
  • Sales commission upon completion of the transaction: [percentage or specified amount].
  • Other fees such as [transaction fees, or any additional fees].

Fees are automatically deducted from the due payments, and the user is notified of them before completing any transaction.

7. Fees and Commissions

  • Listing Fees: A fixed fee is charged for listing assets for sale in the amount of [amount] for each advertisement, which is paid in advance when listing the asset.
  • Commission on Sale: Upon successful completion of the sale, “Mawadat” has the right to deduct a commission of [percentage%] from the total value of the transaction.
  • Additional Fees: Additional fees may be charged for some services such as promoting advertisements, providing verification services, or supporting due diligence processes.
  • Payment Mechanism: All fees are automatically deducted from the accounts linked to the platform, and the user is notified of any fees previously charged via email or in-account notifications.
  • Refund of Fees: In the event that the transaction is cancelled or fails for reasons not related to the user, the user may be entitled to request a refund of the fees paid in accordance with the approved financial policies of “Mawadat”.

8. Valuation Calculator

  • You are solely responsible for determining the price of the assets offered for negotiation on Mawadat.
  • To help you determine an appropriate price, Mawadat provides the “Valuation Calculator” tool, which provides an approximate estimate of the value of the asset.
  • The user acknowledges that any assessment resulting from the calculator is indicative only, and cannot be relied upon as a final value or an approved professional report.
  • The results of the calculator are based on mathematical models based on available data, without an in-depth analysis of the asset or an accurate assessment of the market condition and the factors affecting value and trading.

9. Due Diligence Procedures

  • Muwadat provides due diligence services, and the user can request a detailed report on the listed asset for a specific fee.
  • Although Muwadat seeks to provide accurate information in these reports, it does not provide any express or implied warranties regarding the accuracy, completeness, or adequacy of the information contained in the report.
  • Muwadat disclaims any liability for any errors or omissions in the content of the report, and does not guarantee any ownership rights, commercial validity, or fitness for a particular purpose with respect to the information provided.
  • All information provided in this service is for indicative purposes only, and Muwadat does not provide any legal, financial, or commercial advice, and does not bear any responsibility for the results of your investment or trading decision.
  • The user must consult qualified legal, financial or tax advisors before making any investment or contractual decisions.

10. Confidential Information

  • When listing an asset for trading on Muwadat, you will be asked to provide non-public and confidential information relating to the asset you wish to list, including, but not limited to:
    • (a) Information that you expressly identify as confidential.
    • (b) Financial data, traffic, user information, and any other business information.
    • (c) Any details relating to the asset or business, including a website link if any.
    • (d) Profit and loss statements or balance sheets.
    • (e) Any other information relating to the listed asset (“Your Confidential Information”).
  • Your Confidential Information remains yours in full, and you retain all legal rights thereto, including intellectual property rights, goodwill rights, and any other personal or commercial rights.
  • Muwadat is committed to maintaining the confidentiality of your information, and will not disclose it except in the following circumstances:
    • When you decide to make it public to registered users by listing it as a public announcement.
    • In the case of a confidential listing, information will only be shared with registered users who have personally approved and signed a Non-Disclosure Agreement (NDA), or with buyers whose financing has been verified after they have signed your NDA.
  • Mawadat may share confidential seller information with its employees, agents, legal and financial advisors, or officers in the course of providing its services. It may also disclose information if legally required to do so, with an effort to notify you in advance whenever possible, to allow you the opportunity to seek a legal protective order.
  • If a protective order cannot be obtained, and disclosure is required by law, Mawadat may disclose information without incurring any legal liability to you.

11. External Links

Mawadat may contain links to external websites or resources that are not owned or operated by us (such as links to social media platforms such as Facebook, Twitter, Pinterest, or data analysis tools such as Google Analytics). When accessing these external services, you assume full responsibility for any potential risks. These parties may require you to agree to their own terms of use and privacy policies, and Mawadat is not a party to these agreements, but rather the relationship is between you and the third party directly.

12. Prohibited Activities

You are prohibited from using Mawadat Services in any of the following cases:

  • (a) in any way that could disrupt, damage or impair the Services or access to them.
  • (b) in any way that could negatively affect or harm any other user of the Services.
  • (c) for fraudulent, illegal or criminal purposes.
  • (d) in any way that is inconsistent with these Terms and Conditions.

13. Legal Liability

  • Unless otherwise stated in writing, Muwadat disclaims any warranties or representations relating to the Services, including:
    • (a) that they are free from viruses or other harmful elements.
    • (b) that your use of the Services will be uninterrupted or error-free.
    • (c) the suitability or availability of the Services for your particular use.
  • Muwadat is not liable for:
    • (a) any losses resulting from the unavailability of or inability to use the Services.
    • (b) any indirect losses not due to our direct breach.
    • (c) any losses related to business, sales, profits, contracts, or data.
    • (d) any indirect or consequential losses.
    • (e) any delay or failure in performing the Terms.

14. Applicable Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, and any dispute that may arise between the parties will be settled in accordance with these laws. Any dispute related to these Terms will be settled before the competent courts in the Kingdom of Saudi Arabia, and each party agrees to submit to the exclusive jurisdiction of these courts. However, either party may seek immediate judicial relief in any competent court in the event of a violation of the intellectual property rights or any other rights of either party or its affiliates or any third party.

The laws of the Kingdom of Saudi Arabia alone are the applicable laws in all matters related to disputes that may arise from the use of this website, and the Saudi Arbitration System is exclusively competent to consider and decide such disputes.

This agreement and all transactions conducted through the “Mawadat” platform are subject to the systems and legislation in force in the Kingdom of Saudi Arabia, including but not limited to:

  • The Saudi E-Commerce System issued by Royal Decree No. (M/126) dated 1440/11/07 AH.
  • Personal Data Protection System issued by Royal Decree No. (M/19) dated 09/02/1443 AH.
  • Financial Fraud and Breach of Trust System issued by Royal Decree No. (M/79) dated 09/10/1442 AH.

All users are obligated to comply with these systems, and the site management has the right to take any legal measures to protect its rights or the rights of users in the event of a violation of any of these systems.

15. Force Majeure

You agree that Muwadat will not be liable for any delay or failure in providing its services if this is a direct or indirect result of:

  • (a) Natural disasters such as fires, earthquakes, storms, floods, hurricanes, or severe weather conditions, or situations such as wars, terrorism, explosions, sabotage, or industrial strikes.
  • (b) Cyber ​​attacks, communications outages, hardware malfunctions, or third-party software failures.
  • (c) A sudden increase in demand for Muwadat services that exceeds the usual level, leading to software or hardware failure.
  • (d) Failure of any third party (including banks or financial institutions) to meet its obligations towards Muwadhat.
  • (e) Any other circumstances beyond Muwadhat’s control.

16. Notices

  • Mawadat may send notices by:
    • Posting a general notice on the Platform.
    • Email registered in your account.
    • Phone call or text message to the number registered in your account.
    • Regular mail or prepaid postage to the address registered in your account.
  • Notice shall be deemed to have been received 48 hours after sending by regular mail or 12 hours after sending by email or phone.

17. Transferring Rights and Obligations

Mawadat may transfer or assign its rights and obligations under these Terms to any third party. You may not transfer or assign your rights or obligations under these Terms without the prior written consent of Mawadat.

18. Waiver of Rights

Any waiver of any term or right under these Terms must be in writing and signed by the party concerned. Failure to enforce any right or provision under these Terms shall not constitute a waiver of such right in the future.

19. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings relating to the Services.

20. Amendments and Accessibility

Mawadat has the right to amend these Terms or the Platform Policies at any time, and the amendments will be posted on the Platform. Your continued use of the Platform after the posting of amendments constitutes acceptance of the new amendments. Mawadat has the right to suspend or amend any service or content on the Platform without prior notice, and the Platform will not bear any responsibility for any period of suspension or unavailability of the Services.

21. Severability

If any court of competent jurisdiction decides that any provision of these Terms is invalid or unenforceable, only that provision will be cancelled, and this will not affect the validity of the remaining Terms.

22. Insurance

  • Mawadat users may be eligible for insurance policies such as seller protection and buyer protection, which provide coverage against certain risks associated with the purchase or sale of assets through the Platform.
  • Your eligibility to purchase these policies will be determined during the process of your use of Mawadat services.

  • Mawadat is not an insurance brokerage company and does not sell or manage any insurance product.
